Terms of Service

1. Parties

These Terms govern your use of GamesTally ("the Service"), provided by GamesTally Pte Ltd, a private limited company incorporated in Singapore (UEN T260601319) ("we", "us"). By creating an account or using the Service you agree to these Terms.

2. The Service

GamesTally is a live event scoring platform. Features may evolve; we may add, change or remove features without prior notice. Material changes affecting paid plans will be communicated to subscribers in advance.

3. Accounts

  • You must be at least 18 to create an account.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

4. Subscription, Billing & Refunds

  • Paid plans (Pro, Educator) are billed monthly in advance via Stripe. The displayed price is exclusive of any applicable taxes unless stated otherwise.
  • You may cancel at any time from the billing settings. Cancellation takes effect at the end of the current billing period; you retain paid features until then.
  • No pro-rata cash refunds on cancellation. When you cancel, you retain access through the end of the current billing period. The unused portion of that period is not refunded.
  • Service credit for downtime. If verified Service unavailability exceeds 24 consecutive hours in a billing period, you receive a pro-rated service credit (not cash) applied to the next invoice.
  • Discretionary refunds may be issued for clear billing errors or where required by applicable law.
  • No refund on termination for breach of these Terms.
  • Educator pricing requires a verified academic email and is subject to ongoing eligibility verification.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
  • Upload content that infringes any third party's rights.
  • Resell or sub-license the Service without our written consent.

6. Your Content

You retain ownership of the events, teams, games, and scores you create. You grant us a non-exclusive licence to host and process this content solely to provide the Service.

7. Service Availability & Limitation of Liability

We aim for high availability but do not guarantee uninterrupted access. To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to one (1) month of Subscription Fees paid in the month immediately preceding the claim. For Free-tier users (no fees paid), the cap is USD $50.

We chose this cap deliberately because live event scoring carries reputational risk for our customers; our exposure must remain proportional to fees. This is more restrictive than typical SaaS 12-month caps and is appropriate to the product's risk profile.

8. Termination

You may terminate at any time by deleting your account. We may terminate for breach of these Terms with notice (immediate if the breach is severe — e.g. fraud, abuse). On termination, the data retention rules in our Privacy Policy apply.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.

The parties shall resolve disputes in the following sequence:

  1. Good-faith negotiation for thirty (30) days from written notice of the dispute.
  2. If unresolved, mediation administered by the Singapore International Mediation Centre (SIMC) under its mediation rules.
  3. If still unresolved, arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force at the time. Seat: Singapore. Language: English. Tribunal: a single arbitrator.

Class-action waiver. The parties waive any right to bring or participate in class actions, mass actions, consolidated proceedings, representative proceedings, or jury trials. If this waiver is found unenforceable, the dispute shall instead be heard by the courts of Singapore.

Injunctive relief carve-out. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
